Terms of Service

Terms governing website design, development, hosting, maintenance, and related digital services provided by Padron Digital.

Effective October 5, 2026

These Terms of Service (“Terms”) govern services provided by Padron Digital (“Padron Digital,” “we,” “us,” or “our”). By purchasing services from Padron Digital, submitting payment, or otherwise agreeing to these Terms, the customer (“Client,” “you,” or “your”) agrees to the following.

1. Services

Padron Digital provides website design, development, hosting, maintenance, and related digital services for businesses. The specific services provided depend on the package purchased and any additional services agreed upon between Padron Digital and the Client.

Website Build — $499 One-Time

The Website Build package includes a professionally designed custom business website, including:

  • Mobile-responsive design
  • Core website pages and sections
  • Contact or quote form setup
  • Basic search engine optimization (SEO) setup
  • Website launch

The $499 payment is a one-time website development fee. Ongoing hosting, maintenance, future modifications, additional pages, substantial redesigns, or other services are not included unless specifically agreed upon by Padron Digital. Additional work requested outside the original project scope may require an additional fee.

Website + Care — $49.99/Month

The Website + Care package includes professional website design and development, website hosting, maintenance and technical upkeep, minor content updates, and ongoing website support.

The Website + Care package costs $49.99 per month and requires a 12-month minimum commitment beginning on the date of the Client's first successful subscription payment. After the initial 12-month commitment, the service continues on a month-to-month basis unless canceled in accordance with these Terms.

2. Website + Care 12-Month Commitment

Important: By purchasing Website + Care, the Client agrees to a minimum of 12 consecutive monthly billing periods at $49.99 per month.

The Client authorizes Padron Digital and its payment processor to charge the agreed $49.99 monthly fee to the payment method provided.

Canceling a payment card, removing a payment method, disputing authorized charges, or otherwise preventing payment does not by itself terminate the Client's contractual obligations.

A Client wishing to end the service during the initial 12-month commitment must contact Padron Digital. Any early termination arrangement must be agreed to by Padron Digital in writing.

After completion of the initial 12-month commitment, the Client may cancel the recurring service before the next billing date to prevent future monthly charges.

3. Payments

Payments are processed through third-party payment providers, including Stripe. The Client agrees to provide accurate billing information and maintain a valid payment method when purchasing recurring services.

Work may not begin until any required initial payment has been successfully received. If a recurring payment fails, Padron Digital may temporarily suspend hosting, maintenance, updates, support, or other services until the account is brought current. Padron Digital reserves the right to suspend services for amounts that remain unpaid.

4. Refunds

Because website design and development involve customized digital work performed specifically for each Client, payments are generally non-refundable once work has begun.

If Padron Digital has not begun work on a project, a refund request may be considered on a case-by-case basis. Payments already made for completed work, active hosting periods, maintenance, support, or other services already provided are non-refundable.

Nothing in this section limits any refund or other right that cannot legally be waived under applicable law.

5. Client Responsibilities

The Client is responsible for providing Padron Digital with information and materials reasonably necessary to complete the website, including business information, logos, branding, photographs, written content, service descriptions, and contact information. The Client represents that they have the necessary rights or permission to use any content supplied to Padron Digital. Padron Digital is not responsible for delays caused by the Client's failure to provide requested information, materials, approvals, or feedback.

6. Revisions and Changes

Padron Digital will provide the Client an opportunity to review the website before final launch. Reasonable revisions related to the originally agreed website project may be completed as part of the development process.

Requests that substantially change the original scope, structure, design, functionality, or amount of content may be considered additional work and may require an additional fee.

For Website + Care customers, minor content updates generally include reasonable changes to existing website content, such as updating text, contact information, business hours, photos, or similar existing content. Major redesigns, new functionality, substantial new pages, e-commerce systems, custom applications, or other significant development are not considered minor updates and may be quoted separately.

7. Project Timeline

Any project completion date provided by Padron Digital is an estimate unless explicitly agreed otherwise in writing. Project timelines may depend on Client communication, content delivery, revisions, third-party services, and technical circumstances. Padron Digital is not responsible for delays caused by circumstances outside its reasonable control.

8. Website Hosting and Maintenance

Hosting and ongoing maintenance are included with the Website + Care package while the Client's account remains active and current. For one-time Website Build customers, ongoing hosting arrangements, maintenance, future updates, and technical support may require separate services or fees.

Padron Digital may use third-party hosting, domain, software, infrastructure, or technology providers to deliver services. Although Padron Digital will take reasonable steps to maintain websites under an active care plan, uninterrupted or error-free website availability cannot be guaranteed.

9. Domains and Third-Party Services

Domain names, email services, third-party software, plugins, APIs, hosting infrastructure, payment processors, and other external services may be subject to separate fees and terms imposed by their respective providers. Unless expressly included in the Client's package, the Client is responsible for third-party expenses associated with their business or website. Padron Digital is not responsible for outages, policy changes, account restrictions, price changes, or failures caused by third-party providers outside Padron Digital's reasonable control.

10. Ownership

Upon full payment of all amounts due for the website project, the Client receives the right to use the final website and Client-specific content created for the project, subject to any third-party licenses or services incorporated into the website.

Padron Digital retains ownership of its pre-existing tools, methods, reusable code, templates, systems, processes, know-how, and other materials not created exclusively for the Client. Unless otherwise agreed in writing, Padron Digital may display completed work in its portfolio, website, social media, or marketing materials.

11. Client Content and Legal Compliance

The Client is responsible for the accuracy and legality of the products, services, claims, images, text, and other information presented on their website. The Client agrees not to request that Padron Digital publish unlawful, infringing, fraudulent, defamatory, or otherwise prohibited material. The Client is responsible for ensuring that their business and website comply with laws and regulations applicable to their particular industry and activities.

12. SEO and Business Results

Padron Digital may provide basic SEO setup as part of website development. However, Padron Digital does not guarantee specific search-engine rankings, website traffic, leads, sales, revenue, customer conversions, or other business results. Search rankings and business performance depend on numerous factors outside Padron Digital's control.

13. Chargebacks and Payment Disputes

Clients should contact Padron Digital at matthew@padrondigital.com regarding billing concerns before initiating a payment dispute.

Nothing in these Terms prevents a Client from exercising legitimate rights available through their card issuer, payment provider, or applicable law. Padron Digital may provide relevant agreements, communications, invoices, project records, and proof of services to a payment processor or financial institution when responding to a payment dispute.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Padron Digital will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of its services.

To the maximum extent permitted by law, Padron Digital's total liability arising from a particular service or project will not exceed the amount actually paid by the Client to Padron Digital for the service giving rise to the claim during the 12 months preceding the event giving rise to the claim. These limitations do not apply where applicable law prohibits such limitations.

15. Termination of Services

Padron Digital may suspend or terminate services for material nonpayment, unlawful use of services, abuse of Padron Digital's systems or personnel, or a material violation of these Terms. Where reasonably practical, Padron Digital will provide notice and an opportunity to resolve the issue before termination.

Termination does not eliminate payment obligations that accrued before termination or obligations arising from an agreed minimum service commitment, except where applicable law provides otherwise.

16. Changes to These Terms

Padron Digital may update these Terms from time to time. Changes will apply prospectively from the effective date of the updated Terms. Material changes to an existing Client's agreed pricing or minimum commitment will not retroactively replace the terms already agreed to for that commitment unless the Client agrees to the change.

17. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
